Terms of Service

Last updated: 2026-07-05

Note: This is a starting template — have it reviewed by legal counsel before public launch.

These Terms of Service ("Terms") govern your access to and use of ShipPilot ("ShipPilot", "we", "us", or "our"). By creating an account or using the service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using ShipPilot, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service.

2. The Service

ShipPilot provides autonomous AI coding agents that run in isolated cloud sandboxes, commanded from chat platforms (Slack, Telegram, Discord) and a web dashboard. The agents act on your instructions to work with code and related context you provide.

3. Accounts and Eligibility

You must be at least 18 years old to use ShipPilot. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Provide accurate information and keep it up to date.

4. Subscriptions, Trials, Renewal, and Cancellation

ShipPilot is offered on paid subscription plans: Starter ($19), Pro ($29), and Enterprise ($100). Each plan includes a 7-day free trial, and a valid payment method is required upfront to start the trial.

5. Bring-Your-Own-Key (BYOK) Responsibility

ShipPilot is a BYOK service. You are responsible for providing and maintaining your own model API keys (Anthropic and/or OpenAI), for all usage and costs incurred on those keys, and for complying with the applicable model provider's terms. ShipPilot is not responsible or liable for your model API spend or for charges billed to you by your model provider.

6. Acceptable Use

You agree not to use ShipPilot for any illegal, harmful, or abusive purpose, and not to direct agents to produce or perform illegal or abusive actions. You are responsible for the code and other output that agents produce on your behalf, and you must review it before relying on, deploying, or distributing it.

7. Starter Free Credits

We may provide ShipPilot-funded free credits during your trial or as a promotion. These credits are capped, have no cash value, are non-transferable and non-redeemable for cash, and may be changed, limited, or discontinued at any time. After free credits are used or expire, continued use requires your own BYOK model keys.

8. Intellectual Property

ShipPilot and its software, branding, and content are owned by us and protected by applicable laws. As between you and ShipPilot, you retain ownership of the code and content you provide and the output your agents generate for you. You grant us the limited rights needed to operate and provide the service to you.

9. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, whether express or implied. AI agents can make mistakes, produce incorrect or incomplete results, and behave unpredictably. You must review all agent output before using it. We do not warrant that the service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, ShipPilot and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or model API spend, arising from or related to your use of the service. Our total aggregate liability for any claim will not exceed the amounts you paid to ShipPilot in the 12 months before the claim.

11. Termination

You may stop using the service and cancel at any time. We may suspend or terminate your access if you violate these Terms, misuse the service, or as required to protect the service or other users. Upon termination, your right to use the service ceases.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of [governing jurisdiction to be specified], without regard to conflict-of-law principles. [Dispute resolution and venue to be specified.]
